QuikForms Legal

Policies, agreements, and legal information for QuikForms.

Terms of Service

Effective Date: February 11, 2026 | Last Updated: October 8, 2026

These Terms of Service ("Terms") are a legally binding agreement between you ("Customer," "you," or "your") and QuikForms, LLC, an Oregon limited liability company ("QuikForms," "we," "us," or "our"). They govern your access to and use of the QuikForms managed package for Salesforce, the QuikForms website located at www.sfquikforms.com, the QuikForms AI features, and all related services, documentation, and support (collectively, the "Service").

By installing, accessing, or using the Service, or by purchasing a subscription to it, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity, in which case "Customer," "you," and "your" refer to that entity. If you do not agree to these Terms, or do not have that authority, you must not install, access, or use the Service.

The Service is offered to businesses and other organizations for use in the course of their business. It is not offered to consumers for personal, family, or household use.

2. The Agreement and Order of Precedence

2.1 Documents That Form the Agreement

The Agreement consists of these Terms; each Order; the Data Processing Agreement ("DPA"); the Service Level Agreement ("SLA"); the Refund and Cancellation Policy; and the Acceptable Use Policy ("AUP"), each of which is incorporated into these Terms by reference. A Customer or third party that develops Plugins for distribution to others is also bound by the Plugin Developer Agreement for that activity. The Privacy Policy and the Cookie Policy describe how QuikForms handles personal information; they are notices and not part of the Agreement.

2.2 Order of Precedence

If there is a conflict among the documents that form the Agreement, the following order of precedence applies, from highest to lowest: (a) the DPA, with respect to the processing of personal data; (b) an Order, with respect to the commercial terms it states; (c) these Terms; (d) the SLA; (e) the Refund and Cancellation Policy; (f) the AUP; and (g) the Documentation. Purchase terms presented by Checkout govern the mechanics of the purchase and payment and do not override these Terms. Terms in a Customer purchase order or other Customer document do not apply, even if QuikForms accepts or signs that document, unless QuikForms agrees to them in a written amendment signed by both parties.

2.3 Customer's Relationship with Salesforce

Customer's use of the Salesforce platform, including the AppExchange, Salesforce Sites, Experience Cloud, Embedded Messaging, and Checkout, is governed by Customer's own agreements with Salesforce. Salesforce is not a party to this Agreement and is not responsible for the Service, its support, or QuikForms' obligations under this Agreement. QuikForms is not responsible for the Salesforce platform or for Salesforce's acts or omissions.

3. Service Description

3.1 Overview

QuikForms is a form builder for the Salesforce Platform, distributed as a managed package through the Salesforce AppExchange. It lets Salesforce administrators create, configure, and publish forms, surveys, and chat pre-chat forms that create Salesforce records, and it includes styling, localization, analytics, bot protection, and the AI Features. The features available on each plan are described on the pricing page of the QuikForms website and in the Documentation.

3.2 Where the Service Runs

The Managed Package is installed in and runs within Customer's own Salesforce Org. Form definitions, form submissions, file uploads, survey responses, analytics records, exception logs, and AI conversation history are created and stored in Customer's Salesforce Org. QuikForms does not host Customer's form data and does not operate a separate database for it.

Outside Customer's Salesforce Org, QuikForms operates one service in the path of Customer Data: the AI Gateway, which carries AI requests that use the AI Allowance to the AI provider, meters them against the allowance, and does not store or log their content. The Managed Package sends no usage telemetry to QuikForms.

3.3 Changes to the Service

QuikForms may modify, update, or enhance the Service at any time, including by releasing new versions of the Managed Package through the Salesforce AppExchange. QuikForms will not materially reduce the core functionality of Customer's plan during Customer's then-current Subscription Term. QuikForms will use commercially reasonable efforts to give advance notice of material changes through the Documentation, release notes, or email.

4. Eligibility, Accounts, and Authorized Users

4.1 Eligibility

To use the Service, Customer must: (a) be a legal entity, or an individual of legal age acting on behalf of a business, capable of entering into binding contracts; (b) maintain a Salesforce Org on an edition that the Documentation lists as supported; and (c) maintain its agreements with Salesforce in good standing.

4.2 Account Information

Customer shall provide accurate and current contact and billing information when installing or purchasing the Service, and shall keep it current. QuikForms may rely on the contact information recorded for Customer's installation and Order, including the email address of the user who installed the Managed Package and the billing contact in Checkout, for notices under this Agreement.

4.3 Authorized Users and Credentials

Customer is responsible for its Authorized Users' compliance with this Agreement and is liable for their acts and omissions as if they were Customer's own. Customer is responsible for the credentials its Salesforce Org holds for the Service, including the credential that authenticates its Salesforce Org to the AI Gateway, and shall promptly notify QuikForms at info@sfquikforms.com of any unauthorized use of the Service or of those credentials.

5. License Grant and Restrictions

5.1 License to the Service

Subject to this Agreement and to payment of the applicable Subscription Fees, QuikForms grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license during the Subscription Term (or the Trial) to install the Managed Package in Customer's Salesforce Orgs (including sandbox orgs) and to use the Service, solely for Customer's internal business purposes and in accordance with the Documentation. Customer may permit its Affiliates and its contractors to use the Service on its behalf, and Customer remains responsible for their compliance.

5.2 Restrictions

Except as this Agreement expressly permits, Customer shall not, and shall not permit anyone else to:

  • (a) copy, modify, translate, or create derivative works of the Managed Package or any other part of the Service;
  • (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Managed Package, except to the extent applicable law expressly permits it despite this restriction;
  • (c) remove, disable, or circumvent any license key, licensing mechanism, usage meter, AI Allowance, code protection, or access control, including by altering the Feature Parameters QuikForms sets in Customer's Salesforce Org or by using the AI Gateway credential outside the Service;
  • (d) sublicense, sell, resell, rent, lease, distribute, or otherwise make the Service available to any third party, or use it to provide a service bureau or hosted form-building service to third parties;
  • (e) access or use the Service to build a competing product, or to copy its features, user interface, or Documentation;
  • (f) interfere with or disrupt the Service, the AI Gateway, or the Salesforce platform, or attempt to gain unauthorized access to them;
  • (g) remove, alter, or obscure any proprietary notice on the Service or the Documentation; or
  • (h) use the Service in violation of the AUP or applicable law.

6. Subscription Plans and Fees

6.1 Plans

The Service is offered on the following plans, each with unlimited forms and unlimited form submissions:

  • Standard Plan: $449 per month billed monthly, or $395 per month billed annually.
  • Professional Plan: $799 per month billed monthly, or $699 per month billed annually.

The Standard Plan includes the form builder, styling, localization in up to five (5) languages, file uploads, bot protection, the shared field library, QuikForms AI, and email support during business hours. The Professional Plan includes everything in the Standard Plan, plus unlimited languages, multi-object forms, the built-in analytics dashboard, AI analytics insights, the plugin framework, Flow hooks, Platform Events, and priority support. The pricing page of the QuikForms website and the Documentation describe each plan's features in detail. The fees and plan stated in Customer's Order apply to that Order.

6.2 Changes to Plan Features

QuikForms may change the features included in a plan. QuikForms will not remove a material feature from Customer's plan during Customer's then-current Subscription Term, and will give at least thirty (30) days' advance notice of any material change to plan features that takes effect at renewal.

6.3 Upgrades and Downgrades

Customer may upgrade or downgrade its plan as described in the Refund and Cancellation Policy. After a downgrade, features exclusive to the higher plan become unavailable, but configuration and Customer Data created with them remain in Customer's Salesforce Org. A downgrade does not remove languages already configured on a form; it prevents adding languages beyond the lower plan's limit.

7. Free Trial

QuikForms offers a fourteen (14) day free Trial with the features of the Professional Plan. No credit card or payment information is required to start a Trial. The Trial includes QuikForms AI with a smaller AI Allowance than the paid plans. Trials are limited to one per Salesforce Org, and QuikForms may modify or end the Trial offer at any time.

At the end of the Trial, Customer must purchase a subscription to continue using the Service. If Customer does not, the features of the Service are suspended, and Customer Data created during the Trial remains in Customer's Salesforce Org and becomes available again when Customer subscribes.

DURING THE TRIAL THE SERVICE IS PROVIDED "AS IS," WITHOUT ANY WARRANTY, SERVICE LEVEL COMMITMENT, SERVICE CREDIT, OR SUPPORT OBLIGATION, AND QUIKFORMS' INDEMNIFICATION OBLIGATIONS DO NOT APPLY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUIKFORMS HAS NO LIABILITY ARISING FROM USE OF THE SERVICE DURING THE TRIAL.

8. Fees, Payment, and Taxes

8.1 Purchasing Through Checkout

Subscriptions are purchased through Checkout. Payments are processed by Stripe, Inc. on QuikForms' behalf, and Customer's payment details are subject to Stripe's terms and privacy policy. QuikForms does not receive or store full payment card numbers. Customer authorizes QuikForms, through Checkout and Stripe, to charge Customer's designated payment method for all Subscription Fees and applicable Taxes when due.

8.2 Billing

Subscription Fees are billed in advance for each billing period, monthly or annually, as selected in Customer's Order. All fees are quoted and payable in U.S. dollars. Except as this Agreement or the Refund and Cancellation Policy expressly provides, Subscription Fees are non-refundable and payment obligations are non-cancelable.

8.3 Taxes

Subscription Fees exclude all sales, use, value-added, goods and services, withholding, and similar taxes, duties, and governmental assessments ("Taxes"). Customer is responsible for all Taxes associated with its purchases, other than taxes based on QuikForms' net income, property, or employees. Where QuikForms or Checkout is required to collect Taxes, they will be added to Customer's invoice. If Customer is required by law to withhold Taxes, Customer shall gross up its payment so that QuikForms receives the full amount it would have received without the withholding.

8.4 Late Payment

If a payment fails or is overdue, QuikForms may: (a) retry the charge as described in the Refund and Cancellation Policy; (b) charge interest on the overdue amount at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by law; and (c) suspend the Service under Section 23.3 upon fifteen (15) days' written notice. Suspension for non-payment does not relieve Customer of its obligation to pay.

8.5 Price Changes

QuikForms may change Subscription Fees on at least thirty (30) days' prior written notice. A price change takes effect at the start of Customer's next Subscription Term after the notice period and does not affect the current one.

8.6 Refunds and Billing Disputes

Refunds, billing disputes, and chargebacks are governed by the Refund and Cancellation Policy.

9. Subscription Term, Renewal, and Cancellation

9.1 Subscription Term and Automatic Renewal

Each Subscription Term begins when Customer's paid subscription starts and lasts for the billing period selected in the Order (one month or one year). Each Subscription Term renews automatically for a further period of the same length, and Customer's payment method is charged at the start of each renewal, unless Customer cancels before the end of the then-current Subscription Term.

9.2 Cancellation

Customer may cancel at any time, by the methods described in the Refund and Cancellation Policy. Cancellation takes effect at the end of the then-current Subscription Term, and Customer keeps access to the Service until then. No early termination fee applies. Except as the Refund and Cancellation Policy provides, no refund is given for the remainder of a Subscription Term after cancellation.

10. QuikForms AI

10.1 AI on Every Plan

Every plan, and the Trial, includes QuikForms AI with a monthly AI Allowance. The AI Allowance for each plan is stated in forms on the QuikForms pricing page and may be larger at the start of a subscription and smaller during the Trial. QuikForms meters AI use against the AI Allowance at the AI Gateway. When the AI Allowance for a billing period is used up, the AI Features pause until the next billing period begins; every other feature of the Service continues to work. QuikForms may notify the administrator contact Customer provides when most of the AI Allowance for a billing period has been used.

10.2 How AI Requests Are Made

The AI Features can be used in one of three ways, chosen by Customer's administrator:

  • (a) The AI included in the plan (the default). AI requests pass from Customer's Salesforce Org through the AI Gateway to Anthropic PBC, under QuikForms' account with Anthropic, in a workspace that also serves other QuikForms customers with the same kind of subscription (trial or paid), and count against the AI Allowance, which QuikForms meters for Customer separately at the AI Gateway.
  • (b) Customer's own Anthropic API key. Customer may instead configure its own Anthropic API key. Requests then go directly from Customer's Salesforce Org to Anthropic, without passing through the AI Gateway; they are billed to Customer by Anthropic and are not metered by QuikForms or counted against the AI Allowance. Customer's use of Anthropic's services in that case is governed by Customer's own agreement with Anthropic, and QuikForms is not responsible for Anthropic's services, charges, or handling of data under Customer's account.
  • (c) AI switched off. Customer may switch the AI Features off for its Salesforce Org, in which case no AI requests are made.

AI requests are made only when an Authorized User with QuikForms administrative access takes an action in the Service. No AI request is made when an End User views or submits a form. The data an AI request contains is described in the DPA and the Privacy Policy.

10.3 Ownership of AI Input and AI Output

As between the parties, Customer retains all rights in its AI Input and owns the AI Output, and QuikForms assigns to Customer any right, title, and interest it may have in the AI Output. Customer acknowledges that AI Output may not be unique, that the AI Features may produce the same or similar output for other customers, and that intellectual property protection may not be available for some AI Output.

10.4 Customer Review and Responsibility

AI Output is generated automatically and may be inaccurate, incomplete, inappropriate, or out of date. Customer is responsible for reviewing all AI Output before relying on it or publishing it, including AI-built forms and fields, validation patterns, translations, and explanations, and for its use of AI Output. AI translations are shown to Customer's End Users once Customer publishes them; Customer shall have translations of legal, regulatory, medical, financial, safety, or other consequential text reviewed by a qualified person before publishing. AI Output is not legal, compliance, or other professional advice. Because fields in the field library are shared between forms, Customer acknowledges that an edit to a shared field, whether made by an Authorized User or with the AI Features, can affect every form that uses it.

10.5 No Training on Customer Data

QuikForms does not use Customer Data, AI Input, or AI Output to train or improve any artificial intelligence or machine learning model. Requests made under QuikForms' Anthropic account are sent through Anthropic's commercial API, and Anthropic's commercial terms do not permit Anthropic to train its models on that data.

10.6 Acceptable Use of AI

Customer shall use the AI Features in compliance with the AUP and with Anthropic's Usage Policy, as each is updated from time to time. QuikForms may suspend Customer's use of the AI Features under Section 23.3 if that use violates either policy or if Anthropic restricts it.

10.7 Changes to Models and Availability

QuikForms selects the AI models used through the AI Gateway and may change them, or change how the AI Features work, at any time. A change of AI provider that involves a new sub-processor is subject to the notice and objection process in the DPA. The AI Features depend on the AI Gateway, Cloudflare, and Anthropic, and they carry no availability commitment under the SLA.

11. Beta Features

QuikForms may offer Beta Features. Use of a Beta Feature is optional. Beta Features may be incomplete, may contain errors, and may be changed or discontinued at any time without notice. BETA FEATURES ARE PROVIDED "AS IS," WITHOUT WARRANTY, SERVICE LEVEL COMMITMENT, SUPPORT OBLIGATION, OR INDEMNIFICATION, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW QUIKFORMS HAS NO LIABILITY ARISING FROM THEIR USE.

12. Customer Responsibilities and Acceptable Use

12.1 Compliance with Laws and the AUP

Customer shall use the Service in compliance with this Agreement, the AUP, and all applicable laws, including data protection, privacy, consumer protection, anti-spam, accessibility, and export control laws. Without limiting the AUP, Customer shall not use the Service to collect data in violation of any law, to send spam or phishing communications, or to introduce malicious code through Custom HTML or Plugins.

12.2 Form Content and End Users

Customer is solely responsible for the content, configuration, and operation of the forms, surveys, and chat interfaces it publishes, including: (a) the legality of the data it collects; (b) providing the notices End Users are entitled to and obtaining any consent the law requires; (c) ensuring that form content does not infringe third-party rights; and (d) the accessibility of its forms. The End-User Notice Templates are provided as a starting point and are not legal advice.

12.3 Sensitive and Regulated Data

Customer shall not use the Service to collect payment card data, government identification numbers, health information, or other sensitive or regulated data unless Customer has independently implemented every safeguard and agreement the applicable law or standard requires (such as HIPAA or PCI DSS). QuikForms does not enter into business associate agreements, and the Service is not certified for PCI DSS.

12.4 Salesforce Org Administration

Customer is responsible for administering and securing its Salesforce Org, including user permissions, the guest user access its public sites grant, site and CAPTCHA settings, Salesforce licenses and storage, and compliance with Salesforce's terms and policies.

13. Customer Data

13.1 Ownership

As between the parties, Customer owns all right, title, and interest in Customer Data. Nothing in this Agreement transfers ownership of Customer Data to QuikForms.

13.2 Storage and Control

Customer Data is created and stored in Customer's Salesforce Org, which is the system of record for it. Customer controls it with Salesforce's tools and may export, modify, or delete it at any time. QuikForms has no standing access to Customer's Salesforce Org. QuikForms personnel can see data in Customer's Salesforce Org only if Customer grants login access through Salesforce for a support request, and then only while that access lasts.

13.3 License to QuikForms

Customer grants QuikForms a limited, non-exclusive, worldwide license to access, transmit, and process Customer Data only as necessary to provide and support the Service, to carry AI requests through the AI Gateway, to prevent or address security or technical problems, and to comply with law. This license ends when this Agreement ends, subject to Section 27.

13.4 Data Protection

The DPA governs QuikForms' processing of personal data contained in Customer Data and applies automatically to Customer's use of the Service. QuikForms processes personal data about Customer's own contacts (such as licensing, billing, AI usage, and support information) as a controller, as described in the Privacy Policy.

13.5 Customer's Responsibilities for Data

Customer is solely responsible for: (a) the accuracy, quality, and legality of Customer Data; (b) having every right, consent, and authorization needed to collect and process Customer Data, including End Users' personal data; (c) its privacy notices to End Users; and (d) the retention and deletion settings it configures in its Salesforce Org.

13.6 Account and Usage Data

QuikForms may collect and use information about Customer's installation, license, subscription, billing, AI usage totals, and support communications to provide, bill for, secure, and support the Service and to comply with law, as described in the Privacy Policy. This information does not include the content of Customer's forms or submissions.

14. Plugins and Custom Development

14.1 Plugin Framework

The plugin framework is available on the Professional Plan. Plugins run inside Customer's Salesforce Org and on Customer's public forms, and they can read and change form data, make callouts, and alter what End Users see.

14.2 Ownership and Responsibility

Customer owns the Plugins it develops, subject to QuikForms' rights in the plugin framework and the Managed Package. Customer is solely responsible for every Plugin it installs or activates, whoever wrote it, including its security, its testing, its compliance with law and with Salesforce governor limits, and the data it collects or sends. A Plugin written by a third party is a Third-Party Service.

14.3 No Liability for Plugins

QuikForms has no liability for any damage, loss, or claim arising from a Plugin not provided by QuikForms, including data loss, security incidents, service disruptions, or governor limit failures it causes.

14.4 Plugin Support

QuikForms supports the plugin framework's documented interfaces. QuikForms does not develop, debug, or maintain Customer's Plugins.

15. Sample Code and Example Plugins

Sample Code is licensed to Customer, and to any other person who downloads it, under the MIT License, as set out in Section 2.4 of the Plugin Developer Agreement. Sample Code is not part of the Managed Package, and the MIT License grants no right in the Managed Package, the Service, or the QuikForms name and logo.

SAMPLE CODE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, AND IS NOT COVERED BY THE SLA, SUPPORT OBLIGATIONS, OR INDEMNIFICATION. Customer is responsible for reviewing and testing Sample Code before deploying it to any Salesforce Org, and a Plugin derived from Sample Code is Customer's Plugin under Section 14. TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUIKFORMS HAS NO LIABILITY ARISING FROM SAMPLE CODE.

16. Custom HTML

The Service lets Customer add its own HTML to form headers, footers, the page head, and Custom HTML fields. The Service removes scripts and event-handler attributes from that HTML before displaying it, but QuikForms does not review, monitor, or approve its content. Customer is solely responsible for all Custom HTML content, including ensuring that it is lawful, does not infringe third-party rights, does not introduce tracking that its End-User notices do not disclose, does not interfere with the Service, and complies with the AUP. QuikForms has no liability for any damage, loss, or claim arising from Custom HTML content.

17. Third-Party Services and Platform Dependencies

17.1 Salesforce

The Service requires the Salesforce platform and is subject to it. In particular: (a) the Service operates within Salesforce's governor limits, including API, storage, and Apex execution limits, and form traffic on Salesforce Sites can consume Customer's Salesforce API allocation as described in the Documentation; (b) the availability of the Service depends on the availability of the Salesforce platform, which is governed solely by Customer's agreement with Salesforce; (c) Salesforce changes its platform from time to time, and QuikForms will use commercially reasonable efforts to keep the Service compatible with supported Salesforce editions; and (d) the Managed Package is distributed through the Salesforce AppExchange, subject to Salesforce's AppExchange terms.

17.2 Cloudflare

The Service supports Cloudflare Turnstile for CAPTCHA verification on Customer's forms, using Turnstile keys that Customer obtains from Cloudflare under its own Cloudflare account and terms. Turnstile runs in End Users' browsers and is subject to Cloudflare's terms and privacy policy. The AI Gateway runs on Cloudflare's Workers platform under QuikForms' account.

17.3 Anthropic

The AI Features use models provided by Anthropic PBC, as described in Section 10.

17.4 Stripe

Payments are processed by Stripe, Inc. through Checkout, as described in Section 8.

17.5 No Responsibility for Third-Party Services

QuikForms does not control Third-Party Services and makes no representation or warranty about them. Customer's use of a Third-Party Service is governed by the terms between Customer and its provider. QuikForms is not responsible for the availability, accuracy, security, or performance of any Third-Party Service, or for any change a provider makes to it, and claims about a Third-Party Service must be directed to its provider.

18. Security

18.1 Security Features

The Service includes security features that Customer configures for its use case, including Cloudflare Turnstile CAPTCHA, honeypot protection, per-visitor rate limiting, referrer validation, server-side input validation, enforcement of Salesforce object and field permissions, sanitization of administrator-authored HTML, and redaction of sensitive values in exception logs. The Security & Trust page describes them.

18.2 Customer Responsibilities

Customer is responsible for configuring those features appropriately, managing access to its Salesforce Org and its public sites, monitoring its form submissions, implementing any additional measures its law, regulators, or industry standards require, and reporting security incidents and vulnerabilities to QuikForms at info@sfquikforms.com.

18.3 Security Incidents

If QuikForms becomes aware of a security incident affecting the Managed Package or the AI Gateway that compromises Customer Data, QuikForms will investigate it, notify Customer without undue delay and within seventy-two (72) hours of becoming aware of it, take commercially reasonable steps to contain and remediate it, and cooperate with Customer's investigation and reporting obligations, as further described in the DPA.

18.4 Limits of Security

No security measure is impenetrable. The security of Customer Data also depends on Customer's configuration of the Service, the security of its Salesforce Org, and the Salesforce platform.

19. Support and Service Levels

QuikForms provides support and service levels as described in the SLA. Support does not cover issues caused by Salesforce platform outages, governor limits, or changes; by Customer's configuration of its Salesforce Org; by Plugins, Custom HTML, or Sample Code; or by other Third-Party Services, and it does not include Salesforce administration, development, or consulting services. QuikForms may release updates to the Managed Package, including updates that Salesforce installs automatically in Customer's Salesforce Org, and will use commercially reasonable efforts to minimize disruption.

20. Confidentiality

20.1 Obligations

The receiving party shall: (a) hold the disclosing party's Confidential Information in confidence, using at least the care it uses for its own information of like importance and no less than reasonable care; (b) disclose it only to its employees, contractors, and advisers who need to know it for this Agreement and are bound by confidentiality obligations at least as protective as these; and (c) use it only to perform its obligations or exercise its rights under this Agreement.

20.2 Exclusions

Confidential Information does not include information that: (a) is or becomes public through no fault of the receiving party; (b) was rightfully known to the receiving party without restriction before disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the disclosing party's Confidential Information.

20.3 Required Disclosures

The receiving party may disclose Confidential Information to the extent required by law or legal process, if it gives the disclosing party prompt notice (where legally permitted) and reasonable cooperation in seeking protective treatment.

20.4 Duration

These obligations continue for three (3) years after this Agreement ends, and for trade secrets for as long as they remain trade secrets. Customer Data is subject to Section 13 and the DPA for as long as QuikForms holds any of it.

21. Feedback

Customer is not required to provide Feedback. If Customer does, Customer grants QuikForms a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, modify, and otherwise exploit the Feedback for any purpose, without obligation to Customer. Feedback does not include Customer Data or Customer's Confidential Information.

22. Intellectual Property and Publicity

22.1 QuikForms Intellectual Property

QuikForms and its licensors own all right, title, and interest in the Service, including the Managed Package, the AI Gateway, the plugin framework, the user interface, built-in themes and templates, the website, the Documentation, and all QuikForms names, logos, and trademarks, and all improvements to them. QuikForms reserves all rights not expressly granted in this Agreement.

22.2 Customer Intellectual Property

As between the parties, Customer owns Customer Data, the forms, field libraries, translations, and Custom HTML it creates, the Plugins it develops, the AI Output as provided in Section 10.3, and its own names, logos, and trademarks.

22.3 Publicity

Neither party may use the other party's name, logo, or trademarks, or identify the other as a customer or supplier in marketing or publicity, without the other party's prior written consent, which may be withdrawn at any time for future use. Each party may refer to the other as required by law.

23. Warranties, Disclaimers, and Suspension

23.1 Warranties

Each party warrants that it has the legal power and authority to enter into this Agreement. QuikForms warrants that, during the Subscription Term: (a) the Managed Package will perform materially in accordance with the Documentation; (b) QuikForms will not knowingly introduce viruses, malware, or other malicious code into the Managed Package; and (c) QuikForms will not materially reduce the overall security of the Service. Customer warrants that it has all rights necessary to provide Customer Data and to use the Service as it does, and that its use of the Service, including its collection of data through forms, will comply with applicable law.

If the Managed Package fails to conform to warranty (a), Customer's exclusive remedy, and QuikForms' sole obligation, is for QuikForms to use commercially reasonable efforts to correct the non-conformity after receiving written notice of it. If QuikForms does not correct it within thirty (30) days, Customer may terminate the affected subscription and receive a pro-rata refund of prepaid Subscription Fees for the remainder of the Subscription Term.

23.2 Disclaimers

EXCEPT FOR THE EXPRESS WARRANTIES IN SECTION 23.1, THE SERVICE, THE AI FEATURES, AI OUTPUT, SAMPLE CODE, AND BETA FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUIKFORMS DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. QUIKFORMS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE, OR THAT THE SALESFORCE PLATFORM OR ANY OTHER THIRD-PARTY SERVICE WILL REMAIN AVAILABLE, COMPATIBLE, OR UNCHANGED.

23.3 Suspension

QuikForms may suspend Customer's access to all or part of the Service, including only the AI Features, if: (a) an undisputed payment remains overdue fifteen (15) days after written notice; (b) Customer's use violates the AUP, Anthropic's Usage Policy, or Section 5.2; (c) Customer's use poses a security risk to the Service, the AI Gateway, other customers, or any third party; or (d) suspension is required by law. QuikForms will give notice before suspending where reasonably practicable, will limit the suspension to what is necessary, and will restore access promptly once the cause is resolved. Suspension does not affect Customer Data in Customer's Salesforce Org.

24. Limitation of Liability

24.1 Exclusion of Indirect Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY.

24.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID OR PAYABLE BY CUSTOMER TO QUIKFORMS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

24.3 Exceptions

Sections 24.1 and 24.2 do not limit: (a) Customer's obligation to pay Subscription Fees; (b) either party's defense and indemnification obligations under Section 25; (c) liability for Customer's breach of Section 5.2; (d) liability for a party's gross negligence, fraud, or willful misconduct; or (e) any liability that cannot be limited or excluded under applicable law.

24.4 Salesforce and Other Third Parties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUIKFORMS HAS NO LIABILITY FOR DAMAGES ARISING FROM THE AVAILABILITY, PERFORMANCE, SECURITY, OR FUNCTIONALITY OF THE SALESFORCE PLATFORM OR ANY OTHER THIRD-PARTY SERVICE, FROM SALESFORCE GOVERNOR LIMITS, OR FROM CHANGES SALESFORCE OR ANOTHER PROVIDER MAKES TO ITS SERVICES.

24.5 Basis of the Bargain

The parties agree that the limitations in this Section 24 reflect an agreed allocation of risk, that the Subscription Fees reflect that allocation, and that the limitations apply even if a limited remedy fails of its essential purpose.

25. Indemnification

25.1 By QuikForms

QuikForms will defend Customer and its officers, directors, and employees against any claim by a third party alleging that the Managed Package, as provided by QuikForms and used in accordance with this Agreement, infringes or misappropriates that third party's patent, copyright, trademark, or trade secret, and will pay the damages, costs, and reasonable attorneys' fees finally awarded against Customer or agreed in a settlement QuikForms approves.

QuikForms has no obligation for a claim arising from: (a) Customer Data, AI Input, or AI Output; (b) Plugins, Custom HTML, Sample Code, or Beta Features; (c) any Third-Party Service; (d) a modification of the Service not made by QuikForms, or its combination with anything QuikForms did not provide, where the claim would not have arisen without it; (e) use of the Service in breach of this Agreement; or (f) continued use of an allegedly infringing version after QuikForms has made a non-infringing version available.

If the Managed Package becomes, or in QuikForms' opinion is likely to become, the subject of such a claim, QuikForms may, at its option and expense: (i) obtain the right for Customer to continue using it; (ii) modify or replace it so that it is non-infringing with materially equivalent functionality; or (iii) if neither is commercially reasonable, terminate the affected subscription and refund the prepaid Subscription Fees for the remainder of the Subscription Term.

25.2 By Customer

Customer will defend QuikForms and its officers, directors, and employees against any claim by a third party arising from: (a) Customer Data, including a claim that its collection or use violated law or a third party's rights; (b) Customer's forms and their content, including Custom HTML and published AI Output; (c) Plugins Customer installs, activates, or develops; or (d) Customer's use of the Service in breach of this Agreement, the AUP, or applicable law; and will pay the damages, costs, and reasonable attorneys' fees finally awarded against QuikForms or agreed in a settlement Customer approves.

25.3 Procedure

The indemnified party shall: (a) give the indemnifying party prompt written notice of the claim, although a delay relieves the indemnifying party of its obligations only to the extent it is prejudiced by it; (b) give the indemnifying party sole control of the defense and settlement, except that a settlement may not impose any obligation or admission on the indemnified party without its consent; and (c) provide reasonable cooperation at the indemnifying party's expense. The indemnified party may participate with its own counsel at its own expense.

25.4 Exclusive Remedy

THIS SECTION 25 STATES EACH PARTY'S SOLE LIABILITY, AND THE OTHER PARTY'S EXCLUSIVE REMEDY, FOR THE THIRD-PARTY CLAIMS IT DESCRIBES.

26. Term and Termination

26.1 Term

This Agreement begins when Customer first installs, accesses, or uses the Service and continues until every Subscription Term and Trial has ended, unless terminated earlier under this Section.

26.2 Termination for Convenience

Customer may end its subscription at any time by canceling under Section 9.2. QuikForms may terminate this Agreement for convenience on at least thirty (30) days' written notice, in which case QuikForms will refund the prepaid Subscription Fees for the remainder of the Subscription Term.

26.3 Termination for Cause

Either party may terminate this Agreement on written notice if the other party: (a) materially breaches this Agreement and does not cure the breach within thirty (30) days after written notice describing it; or (b) becomes insolvent, makes an assignment for the benefit of creditors, has a receiver or trustee appointed over a substantial part of its assets, or becomes the subject of a bankruptcy proceeding that is not dismissed within sixty (60) days. QuikForms may also terminate on written notice if Customer's breach of the AUP or Section 5.2 is not capable of cure or is repeated.

26.4 Platform Discontinuation

If Salesforce discontinues the AppExchange or managed packages, or changes the Salesforce platform in a way that prevents QuikForms from providing the Service, QuikForms may terminate this Agreement on at least thirty (30) days' written notice, or on shorter notice if Salesforce's change requires it, and will refund the prepaid Subscription Fees for the remainder of the Subscription Term.

26.5 Refund on Termination by Customer for Cause

If Customer terminates for QuikForms' uncured material breach, QuikForms will refund the prepaid Subscription Fees for the remainder of the Subscription Term. If QuikForms terminates for Customer's breach, Customer is not entitled to a refund and shall pay any unpaid fees for the Subscription Term.

27. Effect of Termination

27.1 End of Use

When this Agreement or a subscription ends: (a) Customer's license to use the Service ends, and the Service's features, including public form rendering, new form submissions, and the AI Features, stop working; (b) QuikForms revokes Customer's access to the AI Gateway; (c) each party shall return or destroy the other party's Confidential Information in its possession, except as the law requires it to keep or as this Section provides; and (d) all fees accrued before termination become due.

27.2 Customer Data Stays in Customer's Salesforce Org

Termination does not delete Customer Data. It remains in Customer's Salesforce Org under Customer's control, and QuikForms does not delete it. Customer may continue to view and export the records the Service created through Salesforce's own tools.

27.3 Uninstalling the Managed Package

Uninstalling the Managed Package from a Salesforce Org permanently deletes, through Salesforce's uninstall process, the custom objects and custom fields the Managed Package provides and all data stored in them, including form definitions and versions, the field library, translations, survey records, analytics records, exception logs, and AI conversation history. Records the Service created in standard objects or in Customer's own custom objects (such as Cases, Leads, Contacts, and their files) remain, except for values held in fields the Managed Package provides. Customer is responsible for exporting any data it wishes to keep before it uninstalls the Managed Package. QuikForms cannot recover data deleted by an uninstall.

27.4 Data QuikForms Holds

QuikForms retains the license, billing, AI usage, and support records it holds about Customer for the periods described in the Privacy Policy, including as required for legal, tax, and accounting purposes, and deletes or returns any personal data it processes on Customer's behalf as provided in the DPA.

27.5 Survival

Sections 1, 2, 8 (for amounts owed), 10.3, 10.4, 13.1, 13.5, 15, 17.5, 20, 21, 22.1, 22.2, 23.2, 24, 25, 27, and 28 through 32, and any other provision that by its nature should survive, survive termination or expiration of this Agreement.

28. Export Control, Sanctions, Anti-Corruption, and Government Users

28.1 Export Control and Sanctions

The Service is subject to United States export control and economic sanctions laws. Each party shall comply with those laws and with the export control and sanctions laws of other countries that apply to it. Customer represents that it is not, and is not owned or controlled by, a person or entity named on a U.S. government list of prohibited or restricted parties, and that it is not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions. Customer shall not permit anyone in those categories to access or use the Service, and shall not use the Service for any purpose those laws prohibit.

28.2 Anti-Corruption

Neither party has received or been offered, and neither party will offer or give, any bribe, kickback, or other improper payment or thing of value in connection with this Agreement, in violation of the U.S. Foreign Corrupt Practices Act, the UK Bribery Act 2010, or any other applicable anti-corruption law. Reasonable gifts and entertainment provided in the ordinary course of business do not violate this Section. A party that learns of a violation of this Section shall promptly notify the other.

28.3 U.S. Government Users

The Service, including the Managed Package and the Documentation, is "commercial computer software" and "commercial computer software documentation" developed exclusively at private expense, as those terms are used in 48 C.F.R. 2.101, 12.212, and 227.7202. A U.S. government end user acquires only the rights granted to all customers under this Agreement. Any other right must be agreed in writing by QuikForms.

29. Dispute Resolution

29.1 Informal Resolution

Before starting any formal proceeding, a party asserting a dispute, controversy, or claim arising out of or relating to this Agreement or the Service (a "Dispute") shall give the other party written notice describing the Dispute and the relief sought, and the parties shall attempt in good faith to resolve it by negotiation for thirty (30) days after that notice.

29.2 Mediation

If the Dispute is not resolved within that period, either party may refer it to non-binding mediation before a mediator the parties agree on, held in Lane County, Oregon, or by videoconference. The parties shall share the mediator's fees equally and bear their own costs.

29.3 Binding Arbitration

If the Dispute is not resolved within sixty (60) days after a referral to mediation, or if neither party refers it to mediation within thirty (30) days after the negotiation period ends, either party may submit the Dispute to final and binding arbitration before a single arbitrator. The arbitration shall be seated in Lane County, Oregon, may be conducted by videoconference, and shall be conducted in English under the commercial arbitration rules of an arbitration provider the parties agree on. If the parties do not agree on a provider and an arbitrator within thirty (30) days after a demand for arbitration, the arbitrator shall be appointed, and the arbitration shall proceed, under the Oregon Uniform Arbitration Act. The Federal Arbitration Act governs the interpretation and enforcement of this Section 29.3. The arbitrator may award any remedy available in court, subject to this Agreement's limitations of liability, and judgment on the award may be entered in any court of competent jurisdiction.

29.4 Exceptions

Either party may seek temporary, preliminary, or permanent injunctive relief in the courts described in Section 30 to protect its intellectual property rights or Confidential Information, or to stop a breach of Section 5.2, without first following Sections 29.1 through 29.3. Either party may also bring an action in those courts to collect undisputed fees.

29.5 Individual Claims Only

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY MAY BRING A DISPUTE AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If this Section 29.5 is found unenforceable with respect to a Dispute, Section 29.3 does not apply to that Dispute, which shall instead be resolved in the courts described in Section 30.

30. Governing Law and Venue

This Agreement is governed by the laws of the State of Oregon, without giving effect to its conflict of laws principles, and, where federal law applies, by the federal law of the United States. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply. For any matter that this Agreement permits to be heard in court, including actions under Section 29.4, Disputes to which Section 29.3 does not apply, and the enforcement of arbitration awards, the parties submit to the exclusive jurisdiction of the state and federal courts located in Lane County, Oregon, and waive any objection to venue there. Nothing in this Section limits a party's right to enforce a judgment or award in any other court of competent jurisdiction.

31. Changes to These Terms

QuikForms may update these Terms from time to time. Updated Terms are posted at www.sfquikforms.com/legal/terms-of-service.html with a new "Last Updated" date. For a material change, QuikForms will give at least thirty (30) days' notice by email to Customer's contact address before the change takes effect, unless a shorter period is required by law or by a change to a Third-Party Service. Updated Terms apply from their effective date and do not apply to a Dispute that arose before it. Customer's continued use of the Service after a change takes effect is acceptance of the updated Terms. If Customer does not agree to a material change, Customer may cancel before it takes effect, and if the change materially and adversely affects Customer during a prepaid Subscription Term, QuikForms will refund the prepaid Subscription Fees for the remainder of that Subscription Term.

32. General Provisions

32.1 Entire Agreement

The Agreement is the entire agreement between the parties about its subject matter and supersedes all prior and contemporaneous agreements, proposals, and representations, written or oral, about it.

32.2 Assignment

Neither party may assign or transfer this Agreement without the other party's prior written consent, except that either party may assign it without consent to a successor in a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets or of the business to which this Agreement relates, if the successor agrees in writing to be bound by it. Any other attempted assignment is void. This Agreement binds and benefits the parties and their permitted successors and assigns.

32.3 Force Majeure

Neither party is liable for a failure or delay in performing its obligations (other than payment obligations) to the extent caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, government action, labor disputes not involving the affected party's own employees, power or internet failures, cyberattacks, and outages of the Salesforce platform or other Third-Party Services. The affected party shall notify the other promptly and use commercially reasonable efforts to mitigate the effects.

32.4 Notices and Electronic Communications

Notices under this Agreement must be in writing in English. Notices to QuikForms must be sent by email to info@sfquikforms.com, and notices about personal data may also be sent to privacy@sfquikforms.com. QuikForms may send notices to the email address of Customer's billing contact in Checkout or of the user who installed the Managed Package, as most recently provided to QuikForms, or, for notices to all customers, by posting them in the Service or on the QuikForms website. A notice is given when sent by email, unless the sender receives notice that it was not delivered, or when posted. Customer agrees to receive notices, invoices, and other communications electronically, and agrees that they satisfy any legal requirement that a communication be in writing.

32.5 Independent Contractors

The parties are independent contractors. This Agreement creates no partnership, joint venture, agency, franchise, fiduciary, or employment relationship, and neither party may bind the other.

32.6 No Third-Party Beneficiaries

This Agreement is for the benefit of the parties and their permitted successors and assigns only. It confers no rights on any other person, including End Users and Salesforce.

32.7 Severability

If a provision of this Agreement is held invalid or unenforceable, it will be enforced to the maximum extent permissible and modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full force and effect.

32.8 Waiver

A failure or delay in exercising a right under this Agreement is not a waiver of it. A waiver is effective only if it is in writing and signed by the waiving party.

32.9 Interpretation

Headings are for convenience only. "Including" means "including without limitation." This Agreement shall not be construed against either party as its drafter. If this Agreement is translated, the English version controls.

32.10 Electronic Acceptance

This Agreement may be accepted electronically, by installing or using the Service or by completing a purchase through Checkout, and an electronic acceptance has the same effect as a signature.

32.11 Accessibility of These Terms

These Terms are published as an accessible web page. A copy in another format, or a copy of the version that applied on an earlier date, is available on request to info@sfquikforms.com.
